IMPORTANT NOTICE

This Material Transfer & Research Use Agreement (“Agreement”) establishes the terms governing the purchase, transfer, possession, handling, storage, and permitted research use of products (“Materials”) supplied through Elite Bio Compounds.

By affirmatively accepting this Agreement during checkout, the purchaser (“Recipient”) acknowledges that they have read, understood, and agreed to these terms.

1. MATERIALS AND PROVIDER

The Materials covered by this Agreement may include lyophilized peptides, reference materials, laboratory compounds, and related research materials supplied by:

The existence of an establishment License to Operate must not be interpreted as FDA approval, registration, or authorization of an individual product unless that product has separately obtained the applicable FDA authorization.

2. RESEARCH USE ONLY

The Recipient acknowledges and agrees that Materials designated and sold as Research Use Only (“RUO”) are supplied exclusively for legitimate laboratory, analytical, testing, educational, or research purposes consistent with applicable Philippine laws and regulations.

RUO Materials are not represented or supplied as approved medicines, treatments, or therapeutic products.

The Recipient shall not use RUO Materials for human or veterinary administration, diagnosis, treatment, prevention of disease, or other unauthorized clinical or therapeutic purposes.

3. NO UNAUTHORIZED RESALE OR TRANSFER

The Recipient shall not resell, redistribute, relabel, advertise, transfer, or otherwise provide the Materials in a manner inconsistent with their designated research status or applicable Philippine laws and regulations.

4. RECIPIENT RESPONSIBILITY

The Recipient represents that the Materials will be handled only by persons with appropriate knowledge, facilities, equipment, procedures, and safety precautions for the applicable research activity.

The Recipient is responsible for appropriate receipt, storage, handling, testing, use, transport, and disposal of the Materials.

The Recipient acknowledges that research materials may have incompletely characterized toxicological, pharmacological, physiological, or environmental properties.

5. NO MEDICAL REPRESENTATION

Information supplied by Elite Bio Compounds concerning RUO Materials is provided for product identification, documentation, laboratory handling, or research-reference purposes.

Nothing supplied with the Materials is intended to constitute medical advice, diagnosis, treatment instructions, prescribing information, or a representation that an RUO Material is safe or effective for human or veterinary use.

6. ASSUMPTION OF RESEARCH RISK

To the extent permitted by applicable law, the Recipient assumes responsibility for risks arising from the Recipient's possession, storage, handling, experimental use, transfer, or disposal of the Materials.

The Recipient remains responsible for complying with applicable laws, regulations, institutional requirements, laboratory safety standards, and other requirements governing the Recipient's activities.

7. INDEMNIFICATION AND LIMITATION OF LIABILITY

To the extent permitted by applicable law, the Recipient agrees to indemnify and hold harmless ELITEBC BIOTECH SOLUTIONS OPC, Elite Bio Compounds, and their respective officers, employees, representatives, and authorized suppliers from third-party claims, losses, or liabilities resulting from the Recipient's unauthorized use, unlawful redistribution, improper handling, or material breach of this Agreement.

Nothing in this Agreement excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

8. RECORDS AND TRACEABILITY

For compliance, fraud prevention, transaction authentication, and recordkeeping purposes, the Provider may retain records associated with acceptance of this Agreement, subject to applicable privacy and data-protection requirements.

Such records may include the Agreement version accepted, order number, date and time of acceptance, customer/account identifier, acceptance status, and appropriate technical transaction records.

9. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines.

10. ENTIRE AGREEMENT AND SEVERABILITY

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.
